CBUSA Community Terms of Use

These CBUSA Community Terms of Use (“Terms”) govern your use of the CBUSA Community website (the “Site”), and your participation in the CBUSA Community Program (the “Program”) provided by CB/USA, LLC (together with its affiliates, “CBUSA”).
By accessing the Site or participating in the Program, you agree to these Terms as well as CBUSA’s Builder Membership Agreement, Privacy Notice, and the Community Guidelines (collectively, the “Agreement”), which are hereby incorporated by reference. If these Terms conflict with CBUSA’s Builder Membership Agreement, Privacy Notice, and/or Community Guidelines, these Terms will control to the extent of the conflict.
By accessing the Site or participating in the Program, you acknowledge and agree that content and materials posted or made available by Community members on the Site, at Program Events (as defined below), or otherwise in connection with the Program are developed by other Program members and contains their opinions and experiences, and are not created by or under the control of CBUSA. The views and content shared in the Program or on the Site are those of our Program members and may not reflect CBUSA’s official perspective or be endorsed by CBUSA.
1. Invitation to Join the Program
The Site is accessed through CBUSA’s secure, members-only software and proprietary communications system (the “Platform”). Program members will receive an invitation from CBUSA to access the Platform and any groups within the Platform. This invitation will include a pre-set and unchangeable username. Subject to the terms of the Agreement, CBUSA grants invited Program members a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable limited right and license to access and use the Site and participate in the Program. CBUSA may terminate this license at any time.
2. Your Content
By uploading, creating or distributing any content, materials, data, text, software, files, messages, and other information on or in connection with the Site or Program (your “Content”), you represent and warrant that:
- Your Content does not violate the terms of the Agreement;
- You have all rights and authority necessary to share your Content and make it publicly available; and
- Your Content does not contain the confidential or non-public information of any other person or entity.
By posting or making available your Content to CBUSA or other Program members on the Site and/or in connection with the Program, you grant to CBUSA and to each other Community member a perpetual, non-exclusive, irrevocable, worldwide right to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit, and otherwise use your Content. This license continues even if you stop using the Site and/or participating in the Program.
You are solely responsible for your Content, including any personally identifying information it contains. CBUSA is not responsible or liable for any user Content on the Site or distributed in connection with the Program. CBUSA reserves the right to pre-screen, monitor, and remove any content from the Site or exclude Content from the Program for any reason or no reason.
3. Acceptable Use
You agree to abide by the Community Guidelines and the following terms when using the Site and/or participating in the Program:
- Do not interfere with or disrupt the Site.
- Do not use manual or automated software, devices, scripts, or other means to access, scrape, crawl, or spider the Site or any related information.
- Do not use bots or other automated methods to add or download content to the Site.
- Do not frame, mirror, or otherwise simulate the appearance or function of the Site.
- Do not send spam or other unwelcome communications to others.
- Do not misrepresent your identity or affiliation with a person or entity.
4. Responsible Use of AI
The growing rise in the use of artificial intelligence (AI) tools means that people around the world are making use of automations and applications that help us work more efficiently. Keep in mind the following guidelines and requirements when using AI in connection with the CBUSA Community Site and/or Program:
- You must read and revise any content created using AI tools before you post it and ensure that it accurately reflects your own experience using your own authentic voice.
- Ensure that all posts are not off-topic and that they reflect relevant, accurate information of use to our CBUSA Community and in line with the Community Guidelines.
- Do not exclusively use AI tools to generate your posts, as this over-reliance on these tools can lead to content that is uninteresting for other members and does not reflect the diversity in thoughts, opinions, and experiences of our CBUSA Community.
- Do not use AI applications to provide step-by-step instructions on how to accomplish something within the CBUSA platform or products.
- Do not use AI applications to generate or post factually incorrect or false information about the CBUSA platform or product capabilities, or other information about CBUSA or its offerings.
- You are required to use all AI applications in compliance with these Terms, the Community Guidelines, and all other applicable CBUSA policies, as well as all applicable laws, rules, and regulations. For example, it is prohibited to use AI applications in a manner that violates the privacy rights of others or to generate content that infringes on the intellectual property rights of another person or entity (e.g., copyrighted material).
5. Event Terms
By registering for, attending, promoting, or helping to put on any in-person or virtual events held on the Site or in connection with the Program (each an “Event”), you agree to the following terms:
5.1 Event Changes. Event hours, schedules, speakers, and activities are subject to availability, and may change or be cancelled without notice. When you register for an Event, you receive a revocable license to attend the Event.
5.2 Event Recordings; Ownership. By attending an Event, you hereby agree that CBUSA and its agents, designees, licensees, and assigns shall have the right to photograph, record, and otherwise capture images, audio, and video at and of the Event, including, but not limited to, your name, image, likeness and voice contained therein (“Recordings”). CBUSA and its agents, designees, licensees, and assigns for commercial and non-commercial use, in any and all media now known or hereafter developed, as CBUSA may determine in its sole discretion, and by all known or unknown means of exploitation, in particular by digital or online transmission (such as the Internet) or broadcasting, or in any other media without this list being limitative, in perpetuity, for the following purposes: (a) report on, publicize, promote, market and advertise the Event or other Events or promotions; (b) for CBUSA’s internal business purposes; and (c) to market, promote and advertise the businesses, products, and/or services of CBUSA. CBUSA shall own all rights to the Event branding, the Recordings, and the results and proceeds therefrom, worldwide, in any and all media (whether now known or hereafter devised). You hereby unconditionally and irrevocably waive, in favor of CBUSA, any and all moral rights or similar rights you now have or may hereafter acquire anywhere in the world in relation to your appearance in the Recordings
5.3 Publicity. You hereby grant to CBUSA and its agents, designees, licensees, and assigns the right to use your name, image, likeness, voice, company name, biographical information, performance, persona, and indicia of identity for advertising, marketing, promotion, press and public relations materials, and any other purpose, in all media now known or hereafter developed, including any Recordings. You hereby acknowledge and agree that you will have no right to review or approve such use.
5.4 Virtual Events. When you attend a virtual Event or webinar, you acknowledge and agree that the Event may be recorded, and any recordings, stills, and other information captured from such virtual Event shall constitute “Recordings” as defined above.
5.5 Assumption of Risk. You hereby assume all risk incidental to attendance of any Event and participation in all related activities, including, but not limited to, personal injury and loss or damage to property that occurs at the Event. You further acknowledge and agree that the CBUSA and the venue owner are not responsible for lost, stolen, or damaged personal property.
5.6 Release of Liability. You hereby acknowledge that there are hazards and risks of physical injury or illness to attendees of any Event and that not all such hazards or risks can be fully eliminated. By registering for and/or attending the Event, to the extent permitted by applicable law, you freely and voluntarily agree to assume the full risk of bodily injury or property damage, regardless of severity, or death that you may sustain as a result of attending the Event, whether or not caused by the negligence or gross negligence of CBUSA or any other participant of the Event, or their respective agents, designees, licensees, or assigns at the Event. You hereby release CBUSA, the venue owner, and each of their respective parent, subsidiary and affiliated entities and each of their respective owners, officers, directors, employees, contractors, agents, designees, volunteers, licensees, representatives, heirs, next of kin, spouses, guardians, legal representatives, executors, administrators, successors and assigns (collectively, the “Released Parties”), from and against any and all claims, liens, agreements, contracts, actions, suits, costs, attorneys’ fees, damages, judgments, orders and liabilities of whatever kind or nature in law, equity or otherwise, whether now known or unknown, suspected or unsuspected, and whether or not concealed or hidden (collectively, the “Released Claims”) arising out of or in connection with your presence and/or participation in the Event or activities associated with the Event, whether occurring before, during or after the Event, or the Released Parties’ exercise of any rights granted by you in the Agreement, including, without limitation, claims for any injury, illness, damage, loss or harm to you or your property, or your death, or any injury, illness, or disease, or that of any third parties. The Released Claims shall include, but are not limited to, those based on negligence or gross negligence of any of the Released Parties or any of the other participants in or at the Event, wrongful death, personal injury, infliction of emotional distress (both negligent and intentional), products liability, breach of contract, fraud, fraudulent inducement, fraudulent concealment, breach of any statutory or other duty of care owed under applicable laws, or loss of earnings or potential earnings.
5.7 Limitation of Liability. The Released Parties (as defined above) shall not be liable to you or any third party for, and you hereby knowingly and expressly waive all rights to seek, any direct, indirect, incidental, special, or consequential damages of any type, and any rights to have damages multiplied or otherwise increased, arising out of or in connection with the Event, the Recordings, and related activities, even if the Released Parties have been advised of the possibility of such damages, and regardless of whether the claim is based upon any contract, tort, or other legal or equitable theory. To the full extent permitted by applicable law and without limiting the foregoing, you expressly agree that the Released Parties will have no liability whatsoever for: (i) personal injury or property damage, of any nature, whether arising in contract or tort, resulting from your access to the Event; (ii) any errors, mistakes, inaccuracies, or omissions in any content, materials, or Recordings; or (iii) any lost, stolen, or damaged property. The limitations in this section will apply even if any limited remedy fails of its essential purpose. The Released Parties’ aggregate liability arising out of these Terms, your registration, and your attendance at the Event will not exceed one hundred U.S. Dollars (USD $100.00). Some jurisdictions do not allow the exclusion or limitation of damages, so these may not apply to you. In such cases, the Released Parties’ liability will be limited to the fullest extent permitted by applicable law. Attorneys’ fees will not be awarded or recoverable under any circumstances. Events are provided “as-is”, and CBUSA disclaims all warranties (express or implied) regarding all Events.
5.8 Event Content. You shall not record any portion of an Event or use content from an Event without the permission of its owner. Views expressed by Event speakers and other Program participants are their own and CBUSA does not accept any responsibility for, nor endorse, such views. You are fully responsible for any photographs or other recordings you create while at an Event, and you hereby agree to indemnify and hold harmless the Released Parties (as defined above) from and against any and all claims, liabilities, and expenses (including attorney’s fees and costs) incurred by the Released Parties arising from or related to your recordings, including, but not limited to, a claim that such recordings violate or infringe the rights of an Event attendee or other third party, including, but not limited to, such third party’s copyright, trademark, trade secret, rights of privacy or publicity, or other personal or proprietary right.
5.9 Health and Safety. The health and safety of all Event attendees are of utmost importance. CBUSA may take any action that is necessary (in its sole discretion) for the protection of the Event, participants, and/or or any other person or entity, including, but not limited to, imposing additional restrictions and/or changing the Event format (or any portion thereof) to a virtual Event in order to protect attendee health and safety.
5.10 Right of Refusal. CBUSA reserves the right to deny entry to an Event or remove any person from an Event who: (a) is behaving or threatening to behave in a manner in which CBUSA, in its sole and absolute discretion, consider to be disorderly, offensive, or disruptive of the Event, or that violates these Terms or the Community Guidelines; (b) uses harassing, discriminatory, vulgar or abusive language; or (c) seeks access to the Event for commercial purposes or to advertise or market to attendees. By registering for or attending an Event, you represent that you have accurately represented any corporate affiliation, do not work for a CBUSA competitor, and do not intend to use information presented at the Event for competitive purposes.
6. Miscellaneous
6.15 Severability. If any provision of these Terms is determined to be invalid, illegal, or unenforceable in any respect by a court of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions of the Terms shall not be affected or impaired in any way.
